Terms & Conditions

These terms set out the basis on which Lanna Labs provides its website and services. Please read them at your own pace. By using our website or engaging our services, you agree to these terms.

1 Definitions

In these Terms and Conditions, the following words carry the meanings given below:

"Company", "we", "us", "our" — Lanna Labs, a consultancy registered in Chiang Mai, Thailand.
"You", "Client", "User" — any individual or organisation that visits our website or engages our services.
"Services" — the AI integration consultancy services described on our website, including Process Discovery, Assistant Integration, and Sustained Support Plan.
"Agreement" — these Terms & Conditions together with any written service agreement or proposal accepted by both parties.
"Content" — all text, images, code, and other material on our website.
"Website" — our website accessible at lannalab.club and any related subdomains.

2 Acceptance of Terms

By visiting our website or contacting us about our services, you indicate that you have read, understood, and are willing to be bound by these terms. If you do not agree with any part of these terms, please do not use our website or engage our services.

Our services are intended for business use and are directed at individuals aged 18 and over who have the legal capacity to enter into a binding agreement. By using our services, you confirm that you meet this requirement and, where acting on behalf of an organisation, that you have the authority to bind that organisation.

3 Service Description

Lanna Labs offers AI integration consultancy to organisations in Thailand and internationally. Our current service offerings are:

Process Discovery — ฿4,400

A structured review of one department's workflows to identify where AI tools may ease routine tasks. Delivered as a written assessment.

Assistant Integration — ฿9,900

Configuration and integration of an AI assistant into one existing tool, including training notes and a settings guide for your team.

Sustained Support Plan — ฿16,800/month

Ongoing monthly support and refinement of your AI integration, including monthly written summaries and a dedicated point of contact.

Service availability may vary. We reserve the right to modify, pause, or discontinue a service with reasonable advance notice to affected clients.

4 Your Responsibilities

To allow us to carry out our work effectively, you agree to:

  • Provide accurate and complete information when requested
  • Allow reasonable access to systems, staff, and documentation relevant to the agreed scope
  • Respond to queries and review requests within agreed timeframes
  • Use our website only for lawful purposes and in a manner that does not infringe the rights of others
  • Not attempt to gain unauthorised access to any part of our website or systems
  • Not transmit harmful, offensive, or unlawful content through any channel of communication with us

Delays or limitations in our delivery caused by a failure on your part to meet these responsibilities may affect agreed timelines and are not our liability.

5 Intellectual Property

All content on our website — including text, layout, design, and graphics — is the property of Lanna Labs or our licensors. You may view and print pages for your own personal or internal reference, but you may not reproduce, distribute, or republish any part of our website without prior written permission.

Deliverables produced specifically for you under a service agreement (such as assessment reports or integration guides) are provided for your use upon receipt of full payment. We retain the right to reference the type and scope of work in our portfolio, without disclosing confidential information.

Any tools, methodologies, or processes we use in delivering services that were developed independently of your engagement remain our intellectual property.

6 Payment Terms

All prices are stated in Thai Baht (฿) and exclude VAT or other applicable taxes unless expressly stated otherwise in a written proposal.

Payment terms are specified in each service agreement or invoice. Unless agreed otherwise in writing, payment is due within 14 days of invoice date. We reserve the right to pause work on an engagement if payment is materially overdue.

For the Sustained Support Plan, a monthly fee is invoiced in advance. Either party may end the arrangement with 30 days' written notice; no lock-in period applies.

We do not offer general refunds for completed work. If you have a concern about the quality of a deliverable, please raise it promptly and we will discuss an appropriate remedy on a case-by-case basis.

7 Service-Specific Terms

Scope and changes

Each engagement has an agreed scope set out in writing before work begins. If you request changes that go beyond the agreed scope, we will discuss the adjustment in time and cost before proceeding. We will not carry out out-of-scope work without written agreement from both parties.

Timelines

Estimated timelines are provided in good faith. They may be affected by factors outside our control, including delays in access, feedback, or third-party platforms. We will communicate any significant change to the expected schedule promptly.

Confidentiality

We treat all information you share with us in the course of an engagement with care. We will not share your confidential business information with third parties except where required to deliver the service or by law. We expect the same discretion regarding our own methods and materials.

8 Disclaimers

Our website and its content are provided as a general information resource. While we take reasonable care to keep information current and accurate, we make no representations about its completeness or suitability for any particular purpose.

AI integration is an evolving field. We offer our considered professional judgement, but we cannot promise particular business outcomes from any integration work. Results will depend on your organisation's processes, data, and team adoption.

We are a technology consultancy and do not provide legal, financial, medical, or regulatory advice. Where such advice is relevant to your situation, please engage the appropriate qualified professionals.

9 Limitation of Liability

To the extent permitted by law, Lanna Labs' total liability to you in connection with any service or engagement shall not exceed the total fees paid by you to us under the relevant service agreement in the preceding three months.

We shall not be liable for indirect, consequential, or incidental losses, including but not limited to loss of profit, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such losses.

Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable Thai law.

We are not responsible for the actions or omissions of third-party platforms, tools, or services that form part of an integration, including but not limited to AI providers, cloud platforms, or productivity tools.

10 Termination

Either party may end an engagement by providing written notice in accordance with the terms of the relevant service agreement. For the Sustained Support Plan, 30 days' notice is required; for fixed-scope engagements, notice should be provided as soon as reasonably possible.

If you end an engagement before delivery is complete, payment is due for work carried out up to the date of termination. We will provide a summary of completed and outstanding deliverables.

We reserve the right to stop providing services immediately if you act in breach of these terms and the breach is not remedied within a reasonable period after written notice.

Provisions relating to intellectual property, payment, liability, and dispute resolution survive termination of any agreement.

11 Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these terms or our services shall, in the first instance, be referred to good-faith discussions between the parties.

If a dispute cannot be resolved informally within 30 days, either party may refer the matter to the courts of Chiang Mai Province, Thailand, which shall have non-exclusive jurisdiction. We are willing to consider mediation as an alternative where both parties agree.

12 General Provisions

Entire agreement: These terms, together with any written service agreement, constitute the complete agreement between you and Lanna Labs regarding our services and supersede any prior discussions or representations.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.

Waiver: A failure by either party to enforce a provision of these terms does not constitute a waiver of that provision.

Assignment: You may not transfer your rights or obligations under these terms to a third party without our prior written consent. We may assign our rights where reasonably necessary for business continuity.

Notices: Formal notices under these terms should be sent in writing to the address or email listed in the Contact section below.

13 Changes to These Terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For active clients, significant changes will be communicated directly.

Your continued use of our website or services following any update constitutes acceptance of the revised terms. If you do not agree to an update, please contact us to discuss your options.
